Marketplace Seller Rules

These Marketplace Seller Rules (“Rules”) apply to individuals and businesses that list and sell their own items as independent sellers through the Circular Clothing Co. marketplace at circularclothingco.com.au (“Marketplace”).

In these Rules, “Circular”, “we”, “us” and “our” refer to Circular Clothing Co., and “seller”, “you” and “your” refer to an approved independent marketplace seller.

Circular operates a curated second-hand fashion marketplace featuring approved sellers and wardrobes that meet our quality, authenticity and presentation standards.

These Rules apply only to independent marketplace sellers who retain possession of and dispatch their own items. They do not apply to items submitted to Circular under a Consignment Agreement. Consignors are governed by Circular’s separate Consignment Terms.

By applying to sell or listing an item on the Marketplace, you agree to these Rules and our:

If there is an inconsistency between these Rules and the general Terms and Conditions concerning your responsibilities as an independent marketplace seller, these Rules apply to that inconsistency.

1. Seller Eligibility and Approval

You must be at least 18 years old and legally capable of entering into a binding agreement to sell through the Marketplace.

Circular operates a curated marketplace. Not every seller application will be accepted.

Sellers may be:

  • Approved following an application.

  • Invited by Circular.

  • Onboarded through an approved partnership or program.

Circular may consider factors such as:

  • Item quality and suitability.

  • Listing and photography standards.

  • Authenticity concerns.

  • Seller reliability and performance.

  • Alignment with Circular’s Marketplace categories and positioning.

  • Compliance with these Rules and applicable law.

Approval as a seller does not guarantee that every submitted listing will be accepted or that any item will sell.

Circular may request information reasonably required to verify your identity, payment details, business status or eligibility to sell.

2. Independent Seller Status

Marketplace sellers operate independently and are responsible for their own listings, items and fulfilment.

Unless expressly agreed otherwise:

  • You retain ownership and possession of your items until they are sold.

  • You are responsible for storing, packaging and dispatching sold items.

  • Circular does not purchase or take ownership of your listed items.

  • The contract for the sale of a marketplace item is between you and the buyer.

  • Circular provides the Marketplace, checkout, payment infrastructure and transaction support.

Using the Marketplace does not create an employment, partnership, franchise or joint-venture relationship between you and Circular.

If you wish to send items to Circular to be inspected, priced, listed and fulfilled on your behalf, you must use Circular’s separate consignment service and agree to the Consignment Terms.

3. Seller Information and Business Status

You must provide accurate and current information when applying for and operating a seller account.

You must notify Circular if information relevant to your seller status changes.

If you operate as a business, you must:

  • Accurately identify yourself as a business seller where required.

  • Provide an ABN and GST-registration information where applicable.

  • Comply with applicable Australian Consumer Law obligations.

  • Comply with applicable taxation, product-safety and business requirements.

You are responsible for obtaining your own taxation, accounting and legal advice concerning your Marketplace activity.

Circular may request additional information to administer payouts, invoices, tax records or legal compliance.

4. Seller Responsibilities

You must:

  • Only list items you own or are legally authorised to sell.

  • Ensure your items are genuine, lawful, safe and permitted on the Marketplace.

  • Provide accurate, complete and non-misleading listing information.

  • Accurately state the item’s brand, size, condition, material and other relevant details.

  • Disclose known faults, wear, damage, repairs and alterations.

  • Use photographs that fairly represent the actual item.

  • Respond reasonably to buyer enquiries and transaction issues.

  • Dispatch sold items within the required timeframe.

  • Provide valid tracking or proof of dispatch.

  • Cooperate with Circular, buyers, carriers and payment providers when resolving an issue.

  • Comply with applicable laws and Circular’s policies.

You remain responsible for the underlying accuracy and authenticity of your listing even if Circular edits, standardises, categorises or provides assistance with its presentation.

5. Listing Quality Standards

Listings must meet Circular’s quality and presentation standards.

You should:

  • Use clear, well-lit photographs of the actual item.

  • Photograph the front, back, labels, material and other important details.

  • Include close-up photographs of flaws, wear or damage.

  • Avoid filters or editing that materially changes the appearance, colour or condition.

  • Present items in a clean, neat and appropriate way.

  • Include useful measurements where possible.

  • Use a clear and accurate title and description.

Stock photographs or model images may only be used as secondary references where you have permission to use them. They must not replace photographs of the actual item.

You must not use photographs, descriptions or other content copied from another seller or rights holder without permission.

Circular may:

  • Request changes to a listing.

  • Correct formatting, spelling, categorisation or presentation.

  • Add relevant search attributes.

  • Hide, reject or remove a listing that does not meet our standards.

Circular’s review or approval of a listing does not transfer responsibility for its accuracy or legality from the seller.

6. Item Condition Standards

You must select the condition category that most accurately reflects the item’s condition.

Condition Description
New With Tags (NWT) Unworn and unused, with the original retail tags still attached.
New Without Tags (NWOT) Unworn and unused without original retail tags, showing no signs of wear.
Very Good Gently worn and in excellent overall condition. Minor wear such as light fading, minimal pilling or faint surface marks may be present and must be disclosed.
Good A pre-loved item showing moderate wear, such as fading, small marks or pilling, without materially affecting its wearability or structure. All wear must be disclosed.
Acceptable Noticeably worn but functional, with visible flaws such as fading, marks, small holes or stretched fabric. Flaws must be clearly photographed and described, and the item should be priced accordingly.

Sellers must:

  • Select the most accurate condition category.

  • Disclose all known flaws in the description.

  • Include clear photographs of material flaws.

  • Avoid describing an item as “perfect”, “like new” or similar if it shows signs of wear.

  • Update the listing if the item’s condition changes while it remains available.

Circular may change or request correction of a condition category where the listing information does not support the selected rating.

7. Pricing

You are responsible for setting the price of your Marketplace items, subject to Circular’s features and promotional rules.

Prices must:

  • Be genuine and not misleading.

  • Account for Circular’s applicable Marketplace fees.

  • Account for standard shipping where Circular’s free-shipping model applies.

  • Not be manipulated to avoid fees or create a false promotional saving.

Circular does not guarantee that an item will sell or achieve a particular price.

8. Marketplace Fees

Circular charges a commission of 12.5% of the total order value on a successful Marketplace sale, unless a different fee has been disclosed and agreed through a promotion, partnership or seller arrangement.

Applicable fees are generally deducted from the seller’s payout.

Fees include GST where applicable.

If an order is cancelled or refunded, the treatment of Marketplace fees will depend on:

  • The reason for the cancellation or refund.

  • Whether the seller breached these Rules.

  • Payment-provider charges that cannot be recovered.

  • Circular’s Terms and applicable law.

Current fees and any applicable deductions may also be displayed through the seller account or transaction summary.

Fees applicable to consignment sales are separate and are set out in the Consignment Terms.

9. Promotional Pricing and Price Integrity

You must not artificially increase an item’s price before a promotion or sale to create the appearance of a larger discount.

This includes temporarily increasing a price in the lead-up to:

  • A Circular sale event.

  • A promotional campaign.

  • A seller-funded discount.

  • A bundle or offer promotion.

As a general guideline, avoid materially increasing an item’s price within 10 days before participating in a promotion unless the change reflects a legitimate pricing correction, condition change or reasonable reassessment of market value.

Circular may:

  • Exclude a listing from a promotion.

  • Correct or remove misleading discount information.

  • Limit the visibility of a listing.

  • Remove a listing.

  • Restrict promotional access for repeated manipulation.

Promotions may be subject to separate eligibility requirements and terms.

10. Offers

Circular may allow buyers to submit offers on eligible Marketplace listings.

As an independent seller, you may accept, decline, counter or allow an offer to expire, subject to the functionality available.

An offer does not reserve an item. The listing remains available for purchase until an order is successfully completed through Circular’s checkout.

Sellers should review and respond to offers promptly. A response within 48 hours is encouraged but is not guaranteed to be available indefinitely.

Circular may introduce or change:

  • Offer expiry periods.

  • Minimum offer amounts.

  • Automatic decline thresholds.

  • Counteroffer features.

  • Other reasonable safeguards supporting Marketplace operation.

A completed sale only occurs after an offer has been accepted and any required payment has been successfully processed through Circular’s checkout.

11. Shipping and Dispatch

You are responsible for packaging and dispatching your Marketplace orders.

You must:

  • Dispatch each order within three business days after receiving confirmation of the sale, unless another timeframe is displayed.

  • Use a tracked delivery service.

  • Ship only to the delivery address recorded on the order.

  • Package the item securely and appropriately.

  • Provide valid tracking or proof of dispatch through the method specified by Circular.

  • Retain proof of dispatch for a reasonable period.

  • Comply with applicable postal, customs, safety and dangerous-goods requirements.

Standard delivery is included in the advertised item price for eligible orders within Australia and New Zealand unless otherwise stated.

You must not request an additional standard delivery payment directly from the buyer.

Insurance is recommended for high-value or fragile items where suitable coverage is available.

Dispatch delays or failure to provide valid tracking may result in:

  • Cancellation of the order.

  • A buyer refund.

  • A delayed or withheld payout.

  • Reduced listing visibility.

  • Account restrictions.

12. Delivery Problems

You must cooperate reasonably where a parcel is delayed, lost, damaged or disputed.

This may include:

  • Providing proof of dispatch.

  • Contacting or responding to the carrier.

  • Providing packaging or shipment information.

  • Participating in a carrier claim.

  • Responding to Circular within a reasonable period.

A tracking event marked “delivered” will be relevant to a dispute but will not necessarily determine the outcome by itself.

Failure to cooperate may result in a delayed payout, buyer refund or other action under these Rules.

13. Returns, Refunds and Disputes

Marketplace sales are not automatically eligible for change-of-mind returns unless you have expressly offered a more flexible return policy.

However, buyers may be entitled to a remedy where an item:

  • Is materially different from the listing.

  • Has a significant undisclosed defect.

  • Is the wrong item.

  • Is counterfeit or materially misrepresented.

  • Is unsafe.

  • Was not received.

  • Fails to meet an applicable consumer guarantee.

You must respond reasonably to a buyer’s issue and provide relevant information through Circular’s dispute process.

If an issue is not resolved, Circular may:

  • Require additional information.

  • Approve or coordinate a return.

  • Pause or adjust your payout.

  • Refund the buyer where appropriate.

  • Deduct, reverse or recover an amount from you where permitted.

  • Restrict your account while the matter is investigated.

Circular’s determination concludes its internal process but does not exclude or limit any legal right available to a buyer or seller.

14. Marketplace Payouts

Marketplace payouts are generally released after an order has been successfully completed.

An order is ordinarily considered complete when:

  • Carrier tracking confirms delivery.

  • Five business days have passed since confirmed delivery.

  • No active return, refund, dispute, chargeback, fraud or policy concern remains.

Payouts are therefore typically released five business days after confirmed delivery, subject to payment-provider processing times.

If an issue is raised during this period, your payout may be delayed until the matter is resolved.

Where automated payouts are unavailable, payment may be processed manually and may take longer.

Circular may reasonably delay or withhold a payout where:

  • Dispatch or delivery cannot be verified.

  • A return, refund, chargeback or dispute is pending.

  • Fraud, counterfeiting or another policy breach is suspected.

  • Information required to verify the seller or payout is missing.

  • A payment provider or applicable law requires it.

If a buyer refund is approved, Circular may deduct, reverse or recover the relevant amount from your payout or connected payment account to the extent permitted by the Terms and applicable law.

15. Listing Assistance and Optional Services

Circular may offer optional services such as:

  • Listing assistance.

  • Photography support.

  • Merchandising guidance.

  • Pricing information.

  • Promotional support.

Unless expressly agreed otherwise:

  • You retain ownership and possession of the item.

  • You remain responsible for authenticity and legal ownership.

  • You remain responsible for the underlying accuracy of the listing.

  • Circular does not guarantee a sale or particular price.

  • Listing assistance does not convert the item into a consignment.

Optional services may be subject to separate fees, eligibility criteria, availability and promotional terms.

Circular may modify or discontinue an optional service where reasonably necessary.

16. Prohibited and Restricted Items

You must not list:

  • Counterfeit, replica or materially misrepresented branded goods.

  • Stolen or unlawfully obtained items.

  • Items you do not own or have authority to sell.

  • Illegal items.

  • Recalled, unsafe, contaminated or unhygienic items.

  • Weapons, explosives or hazardous goods.

  • Explicit adult content.

  • Content or products that promote hatred, discrimination or violence.

  • Items containing real fur, ivory or materials from protected or endangered species.

  • Items that infringe another person’s intellectual-property rights.

  • Other items prohibited by Circular’s policies or applicable law.

Circular may remove or investigate any item that creates an authenticity, safety, ownership or legal concern.

17. Counterfeits, Replicas and Inspired Items

Counterfeit and replica items are prohibited, even if the listing describes them as counterfeit, replica or imitation.

You must not:

  • Use another brand’s name, logo or trademark on an unauthorised item.

  • Describe a counterfeit or replica using terms such as “dupe”, “inspired by” or “unbranded” to avoid these Rules.

  • Select a false brand or category.

  • Use misleading wording designed to associate an item with a brand.

An unbranded item inspired by a general style may only be listed where:

  • It does not bear or misuse another brand’s name, logo or protected imagery.

  • It does not infringe another person’s intellectual-property rights.

  • It is not presented in a misleading way.

  • Its description clearly and accurately identifies the item.

Circular may request proof of purchase, authentication or other evidence. Failure to provide reasonable evidence may result in removal of the listing.

18. Intimate Apparel and Swimwear

Intimate apparel and swimwear may only be listed where permitted by Circular and must:

  • Be lawful to sell.

  • Be clean and hygienic.

  • Be accurately described.

  • Be presented in a respectful, product-focused manner.

  • Comply with applicable hygiene, safety and platform requirements.

Circular may reject or remove an item that appears used in an unacceptable way, unhygienic, explicit or unsuitable for the Marketplace.

19. Authenticity and Brand Integrity

All items represented as branded products must be genuine.

You are responsible for taking reasonable steps to verify authenticity before listing.

Circular may request:

  • Proof of purchase.

  • Serial numbers or date codes.

  • Detailed photographs.

  • Authentication records.

  • Information about the item’s source.

Listing approval does not constitute an absolute guarantee of authenticity or remove the seller’s responsibility.

Listings reasonably suspected of being counterfeit, stolen or deceptive may be removed while the matter is investigated.

Serious or repeated authenticity concerns may result in permanent removal from the Marketplace.

20. Seller Conduct

You must:

  • Treat buyers, Circular personnel and service providers respectfully.

  • Comply with the Community Conduct & Safety Policy.

  • Communicate honestly and professionally.

  • Keep Marketplace communications relevant to the transaction.

  • Protect buyers’ personal information.

You must not:

  • Harass, threaten, discriminate against or abuse another person.

  • Encourage a buyer to transact or pay outside Circular.

  • Share external payment links to avoid Circular’s checkout.

  • Manipulate reviews, prices, offers, transactions or referrals.

  • Create multiple accounts to mislead others or avoid enforcement.

  • Use buyer information for unsolicited marketing.

Circular may adjust listing visibility or feature access based on seller performance, dispatch history, policy compliance and Marketplace integrity.

21. Content and Intellectual Property

You retain ownership of the original content you submit.

By uploading photographs, descriptions or other content, you grant Circular a non-exclusive, worldwide, royalty-free licence to host, reproduce, edit, adapt, display, distribute and promote that content as reasonably required to:

  • Operate the Marketplace.

  • Display and improve listings.

  • Promote items through Circular’s website, social media, advertising and approved sales channels.

  • Investigate disputes.

  • Enforce our policies.

You confirm that you own the content or have permission to use it.

You must not upload content that infringes another person’s copyright, trademark, privacy or other rights.

22. Sustainability and Presentation

Circular prioritises longevity, reuse and waste reduction.

Marketplace items should be:

  • Clean and wearable.

  • Suitable for continued use.

  • Accurately presented.

  • Packaged securely and, where practicable, using minimal or reusable materials.

Sustainability claims must be accurate and not misleading.

23. Performance and Marketplace Standards

Circular may consider the following when reviewing seller performance:

  • Dispatch speed.

  • Valid tracking rates.

  • Order-cancellation rates.

  • Listing accuracy.

  • Buyer complaints and disputes.

  • Responsiveness.

  • Authenticity concerns.

  • Compliance with these Rules.

Where performance falls below reasonable Marketplace standards, Circular may provide guidance, reduce listing visibility, restrict features or take enforcement action.

24. Enforcement

Where Circular reasonably believes these Rules have been breached, we may:

  • Request information or evidence.

  • Correct, hide or remove a listing.

  • Issue a warning.

  • Exclude a listing from a promotion.

  • Restrict features or listing visibility.

  • Delay or withhold a payout while an issue is investigated.

  • Cancel an order and refund a buyer where appropriate.

  • Temporarily suspend an account.

  • Permanently remove a seller from the Marketplace.

  • Refer suspected unlawful conduct to a payment provider, rights holder, regulator or law-enforcement authority.

Immediate restrictions may be imposed where reasonably necessary because of suspected fraud, counterfeiting, safety risks, unlawful activity, harassment or a serious threat to the Marketplace or another person.

Where appropriate and reasonably practicable, Circular may notify you of the concern and provide an opportunity to respond.

25. Appeals

You may ask Circular to review an enforcement decision by contacting hello@circularclothingco.com.au within seven days after being notified.

Include:

  • Your seller details.

  • The listing, order or decision involved.

  • Why you believe the decision should be reconsidered.

  • Relevant supporting evidence.

Circular will review the available information and notify you of the internal outcome.

The review outcome concludes Circular’s internal appeal process but does not exclude or limit any right available under applicable law.

26. Account Closure

You may request closure of your seller account, subject to any outstanding:

  • Orders.

  • Dispatches.

  • Returns or disputes.

  • Buyer refunds.

  • Payouts or amounts owed.

  • Investigations.

  • Legal or record-retention obligations.

Closing your account does not affect rights or obligations arising from earlier transactions.

27. Changes to These Rules

Circular may update these Rules to reflect changes to the Marketplace, operational requirements, policies or applicable law.

When material changes are made, we will publish the revised Rules, update the “Last updated” date and provide additional notice where reasonably appropriate or legally required.

Changes will not retrospectively alter a completed transaction or accrued payout entitlement unless required by law or agreed with the affected seller.

Your continued use of the Marketplace after updated Rules take effect means the updated Rules apply to your future Marketplace activity.
